When it comes to apparel, Bergamo’s vision is to enhance shareholder value by being the leading value-priced wholesaler of urban fashion apparel and accessories.

 

Bergamo has an apparel division established July of 1997. Bergamo Acquisition Corp entered into an agreement with Bergamo Apparel Corp and United Collective Corp (UCC), located at 1410 Broadway, NYC, to restructure its apparel business.   Expected sales of the restructured company for the years 2009-2010 are estimated at $99M with estimated net profits at $3M.

Buyers’ efforts will continue to be supervised to assure delivery of goods on a consistent basis to meet customer needs to new merchandise. Customer feedback will provide selling teams with better understanding of our products and sales techniques that will result in repeat businesses.

Bergamo will continue to incorporate control systems that will enable the Company to respond more quickly to market changes and to take advantage of trends and opportunities.

We will continue to enhance communication between stores and buyers.  This will provide buyers with increased knowledge of individual markets and customer style preferences, competition and opportunities within various geographic and demographic markets.
 

TRADEMARKS & SERVICE MARKS :

The expiration dates for the initial registration for major marks range from July 2003 to May 2009. The Company believes these marks are important to its business. The Company intends to maintain the marks and related registrations it currently uses in its business. Management intends to build a diversified vendor strategy such that loss of any one vendor would not have a material adverse effect on the Company.

SIZE:

The apparel business is worth over $200 billion in sales with a steady growth. Online sales is still a small percentage of total apparel sales, but recent sales showed double digit growth year over year.
KEY FACTORS:

Although the level and nature of competition differ among product categories, we believe the primary competitive factors in our markets are: brand name recognition, product styling, product quality, product presentation, product pricing, store ambiance, customer service, and convenience.
 

CONSOLIDATION:

The retail industry periodically has experienced consolidation and other ownership changes. In the future, other United States or foreign retailers may consolidate, undergo restructurings or reorganizations, or realign their affiliations. Any of these developments could result in our competitors increasing their buying power or market visibility.

INDUSTRY TREND:

While there are many major players it was clear that the specialty stores along with discounters have been steadily gaining market share.

MARKET SHARE:

Top three U.S Apparel Retailers are Wal-Mart Stores (26%), J.C Penny (18%) & The Gap Inc. (9%).
